Will it really remplace the fantom s or is just an other workstation with the same things just more ram and samplig memory?

Yes it seems like it is pretty much just a "Fantom-S ++", more sample memory, bigger ROM sample set, and a fancy new colour screen... I am about to upgrade and I'm still going to get the Fantom-S.
